Welcome to Traffictronix Private Limited (“Traffictronix,” “we,” “our,” or “us”). These Terms & Conditions (“Terms”) govern your access to and use of traffictronix.com, its sub‑domains, our mobile applications, printed order forms, and any other products or services we provide (collectively, the “Services”). By accessing or using any part of the Services, you agree to be bound by these Terms. If you do not accept them in full, you must not use the Services.
1. Eligibility & Accounts
1.1 You must be at least 18 years old and have the legal capacity to enter into contracts.
1.2 You agree to provide accurate, current, and complete information when creating an account or placing an order and to update it promptly.
1.3 You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
2. Scope of Services
2.1 Traffictronix offers digital marketing, web & mobile engineering, creative & branding, print & production, and integrated campaign services. Specific deliverables will be detailed in a mutually executed Statement of Work (“SOW”) or proposal.
2.2 We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable notice where practicable.
3. Quotes, Orders & Payment
3.1 Quotes are valid for 30 days unless stated otherwise.
3.2 An order is deemed accepted only when confirmed in writing by Traffictronix.
3.3 Payment Terms—Unless an SOW specifies different terms:
• 50 % advance before project start, 50 % upon first draft / pre‑press approval.
• Retainer invoices are due within 15 days of receipt.
3.4 Late payments may attract 18 % p.a. interest (or the maximum rate allowed by law). We may suspend work or withhold deliverables until accounts are current.
3.5 All fees are exclusive of GST and other applicable taxes, which you agree to pay.
4. Client Responsibilities
4.1 Provide timely access to brand assets, logins, sign‑offs, and any materials reasonably requested.
4.2 Ensure any content you supply (text, images, data) does not infringe third‑party rights and complies with all applicable laws.
4.3 Respond to approvals or feedback requests within the timeline agreed in the project schedule; delays may shift delivery dates.
5. Intellectual Property
5.1 Pre‑existing IP—Each party retains ownership of trademarks, copyrights, or other IP it owned prior to the engagement.
5.2 Work Product—Upon full payment, Traffictronix assigns to you all rights, title, and interest in the final, client‑approved deliverables expressly identified as “final” in the SOW.
5.3 Traffictronix may showcase non‑confidential deliverables in portfolios, case studies, and marketing materials unless you notify us in writing to withhold them.
6. Revisions & Scope Creep
6.1 Unless otherwise specified, the project fee includes two (2) revision rounds for each deliverable.
6.2 Additional revisions or scope changes will be billed at our prevailing hourly/day rates and may affect timelines.
7. Cancellation & Termination
7.1 Either party may terminate an SOW with 30 days’ written notice. Work performed up to the termination date will be invoiced.
7.2 We may terminate immediately if you breach these Terms and fail to cure within 10 days of notice, or if payment remains outstanding for 30 days.
7.3 Sections 5, 8, 9, 10, and 12 survive termination.
8. Warranties & Disclaimers
8.1 Traffictronix warrants that:
• Services will be performed in a professional, workman‑like manner.
• Deliverables will materially conform to the mutually agreed specifications.
8.2 Disclaimer. Except as stated above, the Services are provided “as is” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non‑infringement.
8.3 We do not guarantee specific rankings, leads, or revenue, as such outcomes depend on numerous factors beyond our control.
9. Limitation of Liability
9.1 To the fullest extent permitted by law, Traffictronix is not liable for any indirect, incidental, punitive, or consequential damages (including lost profits or data) arising from or related to these Terms or the Services, even if advised of the possibility.
9.2 Traffictronix’s total aggregate liability for any claim under these Terms shall not exceed the amount you actually paid to us for the Service giving rise to the claim in the 12 months preceding the event.
10. Indemnification
You agree to indemnify, defend, and hold harmless Traffictronix, its directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys’ fees) arising out of:
- (a) your breach of these Terms;
- (b) content you supply;
- (c) your violation of any law or third‑party rights.
11. Confidentiality
Both parties agree to keep confidential any proprietary or non‑public information disclosed during the engagement and to use it solely for performance under the SOW. This obligation survives for three (3) years after termination, except for trade secrets, which remain protected indefinitely.
12. Governing Law & Dispute Resolution
12.1 These Terms are governed by the laws of India, without regard to conflict‑of‑laws rules.
12.2 Any dispute that cannot be resolved amicably within 30 days shall be finally settled by arbitration in Hyderabad, Telangana, under the Arbitration & Conciliation Act 1996. Proceedings will be in English; the arbitral award is final and binding.
13. Force Majeure
Neither party will be liable for delays or failure to perform caused by events beyond its reasonable control, including acts of God, war, pandemics, or internet outages.
14. Changes to These Terms
We may update these Terms periodically. Material changes will be posted on this page and, where practicable, emailed to registered customers. Continued use of the Services after changes constitute acceptance.
